Terms of Service

Please read these Terms of Service ("Terms") carefully before using DanBooks.ai (the "Service"), operated by Clark Seed LLC, Idaho Falls, Idaho. By accessing or using DanBooks, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1 Acceptance of Terms

By creating an account or using any part of DanBooks, you acknowledge that you have read, understood, and agree to these Terms and our Privacy Policy, which is incorporated by reference.

If you are using DanBooks on behalf of a business, you represent that you have the authority to bind that business to these Terms.

We may update these Terms from time to time. We'll notify you of material changes via email or in-app notice at least 14 days before they take effect. Continued use after changes take effect constitutes acceptance.

2 What DanBooks Is

DanBooks is bookkeeping software designed to help small businesses track income, expenses, invoices, and bank transactions. It provides tools to categorize transactions, generate financial reports, manage customers, and send invoices.

3 Not Financial or Tax Advice

You should always consult a qualified tax professional or Certified Public Accountant (CPA) for decisions related to tax filing, compliance, financial planning, or any matter with legal or financial consequences.

DanBooks makes no warranties as to the accuracy, completeness, or fitness for purpose of any financial information generated by the Service. You are solely responsible for verifying the accuracy of your financial records and for compliance with all applicable tax laws.

4 Your Data

• You own your data. DanBooks processes your financial and business data solely on your behalf to provide the Service.
• We do not sell, share, or use your data for any purpose outside of providing DanBooks to you. See our Privacy Policy for full details.
• You can export your data at any time from Settings → Data & Privacy → Export All Data.
• You can delete your account and all data at any time from Settings → Data & Privacy → Delete Account.
• You are responsible for maintaining the accuracy of the data you enter into DanBooks.

5 Subscription & Billing

DanBooks offers the following plans:

• Billing — Lane 2 is billed monthly via Stripe. Your card is charged on your billing anniversary date.
• Cancel anytime — cancel from within DanBooks. Your Lane 2 access continues until the end of the current billing period; you will not be charged again.
• No refunds — we do not offer prorated refunds for partial billing periods, except as required by applicable law.
• Price changes — we'll notify you at least 30 days before any price increase. You may cancel before the new price takes effect.
• Taxes — prices shown are exclusive of applicable taxes, which may be added based on your location.

6 Acceptable Use

You agree not to use DanBooks to:

• Violate any applicable law or regulation, including tax laws and financial regulations.
• Attempt to access data belonging to other users or organizations.
• Reverse engineer, decompile, or disassemble any part of the Service.
• Use the Service to store or transmit unlawful, harmful, or fraudulent content.
• Circumvent or attempt to circumvent any security feature of the Service.
• Use the Service to engage in money laundering, fraud, or other financial crimes.
• Resell, sublicense, or create derivative products from the Service without our written permission.
• Use automated tools (scrapers, bots) to access the Service in a way that places unreasonable load on our infrastructure.

Violation of this Acceptable Use policy may result in immediate suspension or termination of your account.

7 Limitation of Liability

To the maximum extent permitted by applicable law, Clark Seed LLC and DanBooks shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service.

This includes, but is not limited to, damages for: loss of profits, loss of data, tax penalties, accounting errors, business interruption, or inaccuracies in AI-generated categorizations or reports.

In any case, our total liability to you for any claim arising from these Terms or the Service shall not exceed the total amount you paid to DanBooks in the three (3) months preceding the claim.

Some jurisdictions do not allow certain liability exclusions. In such cases, our liability will be limited to the greatest extent permitted by law.

8 Warranty Disclaimer

The Service is provided "as is" and "as available" without warranty of any kind, express or implied. We do not warrant that the Service will be uninterrupted, error-free, or that any defects will be corrected.

We do not warrant the accuracy, completeness, or usefulness of any financial data, report, or AI categorization generated by DanBooks.

9 Termination

You may cancel your account at any time from within the DanBooks application. See Section 5 for billing implications of cancellation.

We may suspend or terminate your account without notice for:

• Violation of these Terms or our Acceptable Use policy.
• Fraudulent, abusive, or illegal use of the Service.
• Non-payment of subscription fees after reasonable notice.

If we terminate your account for a reason other than a Terms violation, we will provide you with a prorated refund for any unused portion of your paid period.

Following termination, your data will be retained for 90 days then permanently deleted, per our Privacy Policy.

10 Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Idaho, without regard to conflict of law principles.

Any disputes arising from these Terms or your use of DanBooks shall be resolved in the state or federal courts located in Bonneville County, Idaho. You consent to the personal jurisdiction of those courts.

11 Miscellaneous

• Entire Agreement — these Terms, together with the Privacy Policy, constitute the entire agreement between you and Clark Seed LLC regarding DanBooks.
• Severability — if any provision of these Terms is found unenforceable, the remaining provisions remain in full effect.
• Waiver — failure to enforce any provision of these Terms does not constitute a waiver of the right to enforce it in the future.
• Assignment — you may not assign your rights under these Terms without our written consent. We may assign these Terms in connection with a merger or acquisition.
